Terms of Service

These Terms of Service ("Terms") govern your access to and use of the ElevateGuard service ("Service") provided by ElevateGuard ("we", "us"). By using the Service you agree to these Terms.

1. Service

The Service provides software for managing privilege elevation on Windows endpoints, including a cloud console, agent software, and APIs.

2. Accounts

You are responsible for the accuracy of registration information, the confidentiality of your authentication factors (passwords, TOTP secrets, API keys), and all activity under your account.

3. Subscription, Billing, and Trials

The Service is offered on a per-device-per-month subscription basis. New tenants receive a 14-day free trial. Paid plans are billed monthly via Stripe. Fees are non-refundable except as required by law. We may suspend the Service for non-payment after notice.

4. Acceptable Use

You may not (a) reverse-engineer the Service except as permitted by law, (b) use the Service to harm a system you are not authorized to administer, (c) resell the Service without a written reseller agreement, or (d) use the Service in violation of applicable law.

5. Customer Data

You retain ownership of data you submit to the Service ("Customer Data"). You grant us a limited license to process Customer Data solely to provide and improve the Service. Our handling of Customer Data is described in the Privacy Policy.

6. Service Availability

We aim to provide a reliable Service but do not guarantee uninterrupted availability during the trial period or for any plan that does not include a written SLA. Scheduled maintenance and emergency fixes may cause brief interruptions.

7. Warranty Disclaimer

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED THE FEES PAID BY YOU IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY. WE WILL NOT BE LIABLE FOR INDIRECT, CONSEQUENTIAL, INCIDENTAL, OR LOST-PROFITS DAMAGES.

9. Termination

You may cancel your subscription at any time from the billing portal. We may suspend or terminate the Service for material breach of these Terms with reasonable notice and an opportunity to cure where practicable.

10. Changes

We may update these Terms from time to time. Material changes will be communicated via email or in-app notice prior to taking effect. Continued use of the Service after the effective date constitutes acceptance.
